1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the eAuditor Audits & Inspections platform (“eAuditor,” “Platform,” “System,” “we,” “us,” or “our”), operated by Lyons Information Systems, a subsidiary of Sequoia Systems, Inc.

By accessing or using eAuditor, you agree to these Terms. If you do not agree, do not use the Platform.

If you use the Platform on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

2. Description of Services

eAuditor Audits & Inspections is a cloud-based digital inspection and audit management platform that enables organizations to:

  • Create and manage digital checklists
  • Conduct inspections and audits
  • Capture images and evidence
  • Assign corrective actions
  • Track compliance and performance metrics
  • Generate reports and analytics
  • Store inspection records securely

The Platform is hosted on Amazon AWS infrastructure and supports secure authentication via Microsoft Azure (where enabled).

We may enhance, modify, or improve the Platform at any time to improve performance, security, or functionality.

3. User Accounts

To use the Platform, you must create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your login credentials
  • Notify us immediately of unauthorized access
  • Ensure that users under your account comply with these Terms

You are responsible for all activity under your account.

We may suspend or terminate accounts that violate these Terms.

4. Subscription and Fees

Access to eAuditor requires a paid subscription unless otherwise agreed in writing.

You agree to:

  • Pay all applicable subscription fees
  • Pay taxes required by law
  • Maintain valid payment information

Unless otherwise stated in your agreement:

  • Subscriptions renew automatically
  • Fees are non-refundable
  • Pricing may change with advance notice

Enterprise pricing, custom onboarding, and multi-location agreements may be governed by a separate signed agreement.

5. Free Trials

We may offer free trials. Trial access:

  • Is limited in duration
  • May restrict certain features
  • Converts to a paid subscription unless cancelled before expiration

We reserve the right to modify or terminate trial access at any time.

6. Customer Data

You retain ownership of all data you upload or generate within the Platform (“Customer Data”).

You grant us a limited license to:

  • Host
  • Process
  • Back up
  • Secure
  • Display

Customer Data solely for the purpose of delivering the Platform services.

We do not sell Customer Data.

You are responsible for:

  • The accuracy of your data
  • Ensuring your use complies with applicable laws
  • Obtaining necessary consent for uploaded content

7. Data Security

We implement commercially reasonable security measures, including:

  • Encryption in transit (TLS 1.2/1.3)
  • Encryption at rest (AES-256 or equivalent)
  • Role-based access controls
  • Secure AWS cloud hosting
  • Azure-based authentication (where applicable)

While we maintain strong security controls, no system is completely immune from risk. You acknowledge this inherent risk when using the Platform.

8. Acceptable Use

You agree not to:

  • Use the Platform for unlawful purposes
  • Upload malicious code
  • Attempt unauthorized access
  • Interfere with system performance
  • Reverse engineer the Platform
  • Use the Platform to store illegal or infringing material

We may suspend access if we detect misuse or security threats.

9. Intellectual Property

We own all rights, title, and interest in:

  • The Platform
  • Software code
  • AI-generated checklist technology
  • Branding and trademarks
  • Documentation and materials

These Terms do not grant you ownership of the Platform. You receive a limited, non-exclusive, non-transferable license to use the Platform during your subscription.

10. AI-Generated Content

eAuditor may provide AI-powered features, including checklist generation and analytics insights.

You understand that:

  • AI-generated content may require human review
  • You remain responsible for final compliance decisions
  • We do not guarantee regulatory compliance based solely on AI outputs

11. Service Availability

We aim to provide high system availability. However, we do not guarantee uninterrupted service.

Service interruptions may occur due to:

  • Scheduled maintenance
  • Security updates
  • Force majeure events
  • Third-party service provider outages

We will make reasonable efforts to notify customers of planned downtime.

12. Confidentiality

Both parties agree to protect confidential information shared during the subscription term.

Confidential information does not include information that:

  • Is publicly available
  • Was independently developed
  • Was lawfully received from a third party

13. Term and Termination

These Terms remain in effect while you use the Platform.

We may terminate or suspend access if:

  • You breach these Terms
  • You fail to pay subscription fees
  • We suspect unlawful activity

Upon termination:

  • Access to the Platform ends
  • You may request data export within a defined period
  • We may delete stored data after a reasonable retention period

Specific termination rights may be governed by your signed agreement.

14. Limitation of Liability

To the maximum extent permitted by law:

  • We provide the Platform “as is”
  • We disclaim implied warranties
  • Our total liability will not exceed the fees paid in the preceding 12 months
  • We are not liable for indirect, incidental, or consequential damages

Some jurisdictions do not allow certain limitations. In those cases, limitations apply to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Lyons Information Systems from claims arising out of:

  • Your misuse of the Platform
  • Content you upload
  • Your violation of laws
  • Your breach of these Terms

16. Compliance with Laws

You agree to comply with all applicable laws, regulations, and industry standards when using the Platform, including data protection and privacy laws.

17. Modifications to Terms

We may update these Terms from time to time.

We will:

  • Update the “Last Updated” date
  • Provide notice of material changes

Continued use of the Platform constitutes acceptance of updated Terms.

18. Governing Law

These Terms are governed by the laws of the State of [Insert State], United States, unless otherwise specified in a signed agreement.

Any disputes will be resolved in the appropriate courts within that jurisdiction.
